Oriental Smart Warehouse Plans 265 Million Yuan Stake in AUBO Robotics; Related-Party Deal Involves 115 Million Yuan

Oriental Smart Warehouse announced last night that it plans to use 265 million yuan of its own funds to acquire about 11.52 percent equity in AUBO Robotics. One of the counterparties, Hainan Heping, is an enterprise controlled by the actual controller Han Yongguang, involving about 115 million yuan and constituting a related-party transaction. The company had previously planned to acquire a controlling stake in AUBO Robotics, but terminated the plan in December 2025 because conditions were not mature. Eight months later, it switched to a minority investment approach. AUBO Robotics mainly engages in collaborative robots. Its net profit for 2025 and the first five months of 2026 was negative 163 million yuan and negative 84.0384 million yuan respectively. The appraised value of all shareholders' equity was about 2.332 billion yuan. Oriental Smart Warehouse said that after the transaction it will strengthen its layout in the robotics sector, but will prudently assess merger and acquisition opportunities. In the first half of this year, Oriental Smart Warehouse reported revenue of 677 million yuan, up 25.75 percent year on year, and net profit attributable to the parent of 12 million yuan, up 109.65 percent year on year.
